Terms of Service

1. Agreement

These Terms govern your use of the Cognistruct website and mobile application (the "Service"; formerly National Invest 24), operated by CogniStruct AI Company Limited ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

You must be at least 18 years old and legally able to enter into this agreement.

2. What the Service does

The Service lets you assemble a watchlist of listed stocks and receive:

• a weekly written briefing on each stock you follow;
• alerts when one of them makes an unusually large price move;
• a fundamental "alpha" score, derived from company financial statements and historical market data;
• plain-language commentary generated with the assistance of artificial intelligence.

The Service is informational. It does not execute trades, hold money or securities, connect to any brokerage account, or manage any portfolio on your behalf.

3. Not investment advice

Nothing in the Service constitutes investment advice, financial advice, a recommendation, a solicitation, or an offer to buy or sell any security. We do not know your financial position, objectives, tax situation or risk tolerance, and nothing we produce takes them into account. You should consult a licensed financial adviser before making any investment decision.

3.1 What the scores and probabilities mean

The Service reports statistics measured from historical market data — for example, the average return that stocks with similar characteristics went on to achieve in the past, relative to a market index. These are descriptions of what happened historically. They are not forecasts, guarantees, or statements about what any particular stock will do.

You should understand in particular that:

• Past performance does not predict future results. Relationships that held in historical data can weaken, disappear, or reverse — and some of the relationships used by our model demonstrably have reversed during the period we studied. Where we can identify such a signal, we label it in the interface.
• Scores are relative rankings against a historical sample, not absolute measures of quality, safety or value.
• The analysis covers only a defined universe of listed companies and may be unavailable, incomplete or misleading for any given stock, particularly funds, ETFs, newly listed companies, and companies in sectors for which a given metric is not meaningful.

3.2 AI-generated content

Parts of the commentary are generated by an artificial intelligence system. AI systems can produce statements that are inaccurate, incomplete, out of date or misleading, and can misinterpret the source material they summarise. Treat AI-generated commentary as a starting point for your own research and verify anything you intend to act on.

4. Market data

Prices, news, corporate filings and fundamentals are supplied by third-party data vendors. We do not originate this data and cannot guarantee that it is accurate, complete, current or uninterrupted. Data may be delayed. Vendors restate historical figures from time to time, which can change previously reported analysis. Nothing in the Service should be relied upon as a real-time or authoritative source of market information.

5. Your account

• You are responsible for keeping your password confidential and for activity under your account.
• Provide an email address you control; we use it to authenticate you and deliver the Service.
• One account per person. Do not share your account with others.
• Tell us promptly at [email protected] if you believe your account has been compromised.

How we handle your personal data is described in our Privacy Policy, which forms part of these Terms.

6. Acceptable use

You agree not to:

• scrape, harvest, or systematically extract data or content from the Service, or use automated means to access it beyond normal personal use;
• redistribute, resell, republish or commercially exploit the briefings, scores or other content;
• attempt to gain unauthorised access to the Service, other accounts, or our infrastructure, or to probe or test its security;
• interfere with the Service's operation or place an unreasonable load on it;
• use the Service unlawfully, or in breach of the rules of any market or regulator that applies to you.

We apply rate limits and other technical measures to protect the Service, and may restrict access that breaches this section.

7. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend or discontinue any part of it, including individual features, data sources, delivery schedules and usage limits such as the number of stocks you may follow. Where a change materially reduces what you receive, we will give reasonable notice by email where practicable.

The Service depends on third parties — data vendors, email and push delivery, AI providers and hosting. Their outages, changes or withdrawal of service may affect what we can deliver.

8. Fees

The Service is currently provided free of charge. If we introduce paid features, we will publish the terms, pricing and billing arrangements before they take effect, and you will not be charged without first agreeing to them.

9. Intellectual property

The Service, including its software, design, written content, and the models and scoring methodology behind it, belongs to us or our licensors and is protected by intellectual property law. You receive a personal, non-exclusive, non-transferable right to use the Service for your own private, non-commercial purposes. Market data remains the property of the vendors that supply it and is subject to their terms.

The content you enter — your watchlist, display name and preferences — remains yours. You grant us only the permission needed to operate the Service for you.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, secure, or that any analysis it produces will prove correct or profitable.

11. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any investment decision you make, or for any trading loss, lost profit, lost opportunity or lost data arising from your use of, or reliance on, the Service.
• We are not liable for indirect, incidental, special, consequential or punitive damages.
• Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or HK$1,000.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud, or for death or personal injury caused by negligence.

12. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms or your misuse of the Service.

13. Termination

You may stop using the Service and delete your account at any time, using the unsubscribe link in any email we send you or by contacting us. We may suspend or terminate your account if you materially breach these Terms, or if we are required to do so by law. Sections 3, 4, 9, 10, 11, 12 and 14 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of Hong Kong SAR, and you and we submit to the exclusive jurisdiction of the courts of Hong Kong SAR, without prejudice to any mandatory consumer protections available to you where you live.

15. General

If any provision of these Terms is found unenforceable, the remainder continues in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms; we may assign ours to a successor in connection with a merger, acquisition or sale of assets.

We may update these Terms as the Service develops. The date at the top reflects the current version, and we will notify you by email before a material change takes effect. Continuing to use the Service after that date constitutes acceptance.
